Optimum App for Laptop Trial Agreement

By clicking the "I AGREE" button below, you (referred to herein as "Participant") agree to participate in a beta trial for the Optimum App for Laptop ("Trial") for as follows:

Participant agrees to participate in the Trial whereby CSC Holdings, LLC ("Cablevision") will be testing the capability and functionality of the Optimum App for PC/MAC in a live testing environment.

Participant represents and warrants that they are the named subscriber on the Cablevision iO account or he/she has otherwise obtained the express authority of the subscriber on the Cablevision iO account to participate in this Trial and enter into this agreement. Participant represents that he/she is at least 18 years of age or older. Participant agrees that he/she is volunteering to participate in the Trial, and understands that he/she will not receive any payment whatsoever from Cablevision for his/her voluntary participation in the Trial.

The term of Trial shall be for a period of thirty (30) days commencing upon the download of the Optimum App for Laptop software by the Participant. Cablevision shall have the right to extend the term of the trial for additional periods of thirty (30) days. Participant understands that Cablevision may, in its sole discretion, at any time, limit or terminate Participant's participation in the Trial.

Participant understands and agrees that data regarding Participant's use of the Optimum App for Laptop will be collected, maintained and accessed on an individualized and identifiable basis and may include details regarding all interaction with the set top box, including but not limited to channel viewing activity, DVR interaction, VOD interaction and remote control usage. Participant further understands and agrees that employees and agents of Cablevision will have access to such data and the right to use and disclose such data for any purpose related to the Trial.

Participant agrees to comply with all Trial requirements requested by Cablevision during the Trial. Participant agrees to report to Cablevision any problems with the Optimum App for Laptop.

Participant understands and agrees that by participating in the Trial, he/she may also have access to confidential, proprietary and commercially sensitive information owned by Cablevision (collectively, the "Confidential Information"). Participant understands and agrees that the Trial itself as well as my participation therein constitutes Confidential Information. Participant acknowledges the confidential and proprietary nature of the Confidential Information and understands that he/she may not disclose the Confidential Information to any third party or use the Confidential Information in any manner other than as expressly required to participate in the Trial. Without limitation of the foregoing, Participant may not release, disclose, publish or otherwise make known any information directly or indirectly referencing the Trial (including the results of the Trial) or otherwise reference this Agreement without the express written permission of Cablevision.

Participation in the Trial is subject to the Optimum App for Laptop Terms of Use, the Agreement for iO, Optimum App for Laptop End User License Agreement, and Cablevision Customer Privacy Notice, as such may be amended from time to time (collectively, the "TOS"), which are incorporated herein by reference.

Participant understands that the Trial involves a new application which has not been fully tested. CABLEVISION MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE TRIAL, THE OPTIMUM APP FOR LAPTOP AND ANY USE THEREOF. CABLEVISION DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED. CABLEVISION SHALL NOT BE LIABLE TO PARTICIPANT FOR ANY SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, OR FROM ANY ACTION RELATED TO OPTIMUM APP FOR LAPTOP OR ITS PERFORMANCE. THIS DISCLAIMER AND LIMITATION SHALL APPLY REGARDLESS OF THE ACTION, OR THEORY OF LIABILITY WHETHER IN CONTRACT, TORT OR OTHERWISE.

In consideration of this opportunity, Participant hereby waives any right or cause of action he/she might have against Cablevision and releases Cablevision and its present and former parent corporations, joint venture(s), or other partners, affiliates, subsidiaries and otherwise related entities, and any and all of its or their incumbent and former officers, directors, employees, consultants, volunteers, agents and assigns from any and all responsibility or liability arising out of his/her participation in the Trial. Participant agrees that its sole recourse in the event of any breach of Cablevision of this agreement is termination of the agreement.

I AGREE THAT I HAVE READ, UNDERSTAND AND AGREE TO BE BOUND BY THE OPTIMUM APP FOR LAPTOP TRIAL AGREEMENT.
